Terms of Service.

These Terms apply to all Services operated by BWN Group, including:

• briceneilson.com (personal portfolio and writing)
• bwn.group and any subdomains
• Cordint, BriefedOnline, ProctorID, GiftYour.name, CrowdCollectable, SleepSquare, Ravendoc
• The Price of Life and The Cost of Lies (publishing projects)
• Any other product, service, application, or work owned or operated by BWN Group

This catch-all set of Terms applies until a Service publishes its own product-specific Terms of Service, in which case the product-specific Terms will prevail for that Service. For an enterprise or paid plan, an executed master agreement (e.g. an MSA or SaaS agreement) will prevail over these Terms in the event of conflict.

You must be at least 13 years old (or 16 in the EEA/UK) to use the Services. By creating an account, you represent that the information you provide is accurate and complete and that you are authorised to enter into these Terms (including, where you are entering into these Terms on behalf of an organisation, that you have authority to bind that organisation).

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at support@bwn.group of any unauthorised use.

Subject to these Terms and your payment of any applicable fees, BWN Group grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services for your personal or internal business use. All rights not expressly granted are reserved.

Where a Service includes a physical companion device (such as the SleepSquare companion device), the device is sold or licensed to you subject to the warranty and consumer guarantee provisions in these Terms and any applicable law (including the Australian Consumer Law, where you are an Australian consumer). The Services associated with the device may require a current subscription; we will give reasonable notice if subscription terms change.

You must not, and must not permit any third party to:

• use the Services for any unlawful purpose or to violate any law or regulation;
• infringe or misappropriate the intellectual property or privacy rights of others;
• upload or transmit malware, viruses, or harmful code;
• attempt to gain unauthorised access to the Services or related systems;
• scrape, mirror, or systematically extract data except via our published APIs and within their documented rate limits;
• reverse engineer, decompile, or disassemble the Services, except to the extent that this restriction is prohibited by law;
• use the Services to develop a competing product;
• impersonate any person or misrepresent your affiliation;
• use the Services in any manner that could damage, disable, overburden, or impair the Services.

You retain ownership of content you submit to the Services (“User Content”). You grant BWN Group a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, modify, create derivative works of, and display User Content solely as necessary to provide and improve the Services and to enforce our agreements. You are responsible for User Content and warrant that you have all rights necessary to grant this licence.

Some Services or features are offered for a fee. Fees, billing cycles, and renewal terms will be presented at the point of purchase. Unless otherwise stated, subscriptions auto-renew at the end of each billing period and you may cancel at any time through your account settings or, for App Store purchases, through Apple. Refunds are provided in accordance with the consumer law of your jurisdiction and any applicable platform policy.

ProctorID is provided to institutional customers and may collect identity-verification artifacts including images of government-issued identification and biometric facial templates. Your use of ProctorID is subject to additional notices and consents presented at the time of a verification session. Where ProctorID is provided to you through your institution, your institution’s policies (and applicable institution-specific terms) also apply.

The Services and all related software, content, design, trademarks, and brand elements are owned by BWN Group or its licensors and are protected by Australian and international intellectual property laws. Except for the limited licence in section 03, no rights are granted to you in respect of any of our intellectual property.

We may make Services or features available on a beta, preview, or pre-release basis. These features are provided “as is” for evaluation, may be unstable or unsupported, and may be modified or discontinued at any time without notice.

The Services may interoperate with third-party services and contain links to third-party content. BWN Group is not responsible for third-party services or content, and your use of them is governed by the third party’s own terms and privacy policy.

To the maximum extent permitted by law, the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. BWN Group does not warrant that the Services will be uninterrupted, error-free, or secure.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you have under the Australian Consumer Law (or any equivalent law that cannot lawfully be excluded).

To the maximum extent permitted by law, BWN Group’s total aggregate liability to you for any claim arising out of or relating to these Terms or the Services is limited to the greater of (a) the amount you paid to BWN Group for the relevant Service in the 12 months preceding the event giving rise to the claim, or (b) AUD $100.

BWN Group will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, or goodwill, whether based on contract, tort (including negligence), statute, or otherwise.

You agree to indemnify, defend, and hold harmless BWN Group and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to your User Content, your use of the Services in breach of these Terms, or your violation of any law or third-party rights.

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have breached these Terms or that suspension is necessary to protect the Services, our users, or third parties. You may stop using the Services and close your account at any time. Sections that by their nature should survive termination (including 09, 12, 13, 14, and 17) will survive.

We may update or modify the Services and these Terms from time to time. Where the changes are material, we will provide reasonable notice (for example, by email or in-app notice). Continued use of the Services after the changes take effect constitutes your acceptance of the updated Terms.

These Terms are governed by the laws of Queensland, Australia. The parties submit to the exclusive jurisdiction of the courts of Queensland and the federal courts of Australia for any dispute arising out of or relating to these Terms or the Services. Where a mandatory consumer law applies in your jurisdiction, you may also have rights to bring claims in your local courts.

These Terms (together with any service-specific terms and our Privacy Policy) constitute the entire agreement between you and BWN Group regarding the Services. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign these Terms without restriction in connection with a merger, acquisition, or sale of assets.
